Terms of service.

Welcome to FEB Digi. Last updated: 4 November 2026

These Terms of Service set out the principles that apply when clients use the website design, software development, e-commerce, SEO, hosting, maintenance and technology solutions provided by FEB Digi.

Signing a contract, accepting a quote or confirming the use of a service means the client agrees to the terms provided and validly applied to that transaction.

Where a contract or service agreement says otherwise, the terms agreed by the parties in the contract take priority, unless mandatory law provides otherwise.

1. Scope of services

FEB Digi provides services including:

  • Business website design and development.
  • E-commerce websites.
  • Custom web applications and software.
  • Booking systems, management systems and SaaS platforms.
  • Search engine optimisation (SEO).
  • Hosting, domains, server deployment and maintenance.
  • API, payment and third-party service integrations.

The scope of work, features, timeline and deliverables are set out in the quote, contract or requirement documents confirmed by both parties.

Requests outside the agreed scope may incur additional cost and time.

2. Quotes and contracts

Quotes are valid for 30 days from the issue date, unless stated otherwise.

Contracts may be confirmed by handwritten signature, electronic signature or any other lawful electronic method agreed by both parties.

FEB Digi may adjust a quote before the contract is signed if the requirements, scope or delivery conditions of the project change.

Any significant change during the project must be confirmed by both parties before it is carried out.

3. Payments

Clients pay according to the schedule and method set out in the contract or quote.

Unless otherwise agreed, invoices are due within 14 days of the issue date.

For projects with several stages, the deposit or first payment is used to start the project and allocate resources.

If the client cancels the project after work has started, FEB Digi may deduct reasonable costs and the value of work actually completed from the amount received. Any remaining balance will be handled according to the contract and the applicable law.

If a payment is overdue, FEB Digi may send a payment notice and pause the services not yet performed once the reasonable remedy period stated in that notice has passed.

A pause does not cancel payment obligations that have already arisen.

4. Timeline and acceptance

Timelines are based on the project scope and on when the client provides the documents, information, access and payments agreed.

The client is responsible for reviewing the deliverables and giving feedback within the acceptance period set out in the contract.

If the client finds a defect or a feature that does not match the agreed scope, they should notify FEB Digi with a specific description so we can review and fix it.

Acceptance is confirmed by the method agreed by both parties.

Requests to change features, design or workflows after acceptance may be treated as additional work and quoted separately.

5. Hosting, domains and renewals

Hosting, domains, paid SSL certificates and other infrastructure services may be billed periodically according to the service plan.

The billing cycle and renewal date are set out in the contract or service notice.

FEB Digi will make reasonable efforts to send a renewal notice before the expiry date by email or another registered contact method.

The client is responsible for keeping their contact details up to date and paying on time.

If a renewal fee is not paid, the service may be suspended or expire after the notices and procedures under the agreement and applicable law have been followed.

FEB Digi does not guarantee the recovery of domains or data deleted by a third-party provider under their valid expiry policy.

Handing over or migrating a website to another provider is done according to the ownership rights, service scope and payment obligations agreed.

Hosting, servers and infrastructure management

FEB Digi may directly register, rent and manage the servers, hosting, storage services and other technical resources needed to provide services to clients.

Unless otherwise agreed in writing, the infrastructure admin accounts, servers and operating tools registered and managed by FEB Digi are not part of the assets handed over to the client.

The client may use the hosting and website operation services for the period paid for under the service plan or contract.

Ownership of or the right to use the website, source code, content and data is determined separately by the contract and the applicable law, and does not depend solely on which party holds the server account.

When the client stops using FEB Digi's hosting service, handing over the source code and exporting data is done according to the client's rights, the contract and the related legal obligations. FEB Digi may charge for migration or redeployment support if that work is not part of the agreed service.

FEB Digi is not obliged to transfer shared server accounts or infrastructure accounts that FEB Digi registered directly, unless otherwise agreed.

6. Client responsibilities

The client is responsible for:

  • Providing accurate and lawful information and materials.
  • Ensuring they have the right to use the images, content, branding and data provided for the project.
  • Giving feedback and approvals on schedule.
  • Keeping handed-over login details and accounts secure.
  • Paying the agreed fees.
  • Complying with the law when operating the website and handling user data.

The client is responsible for the business content, products, services and information published at their direction, except where responsibility lies with FEB Digi under the contract or the law.

7. Intellectual property and source code

Once the client has met all payment obligations, ownership of or the right to use work developed specifically for them is determined by the contract.

For design, content and source code developed specifically for the client, FEB Digi transfers rights within the agreed scope.

Pre-existing components, libraries, frameworks, internal tools, shared systems or proprietary solutions of FEB Digi are not transferred by default.

Open-source components and third-party products remain subject to their respective licences.

For SaaS services, the client is usually granted the right to use the system under a service plan, which does not mean owning the source code or platform infrastructure, unless otherwise agreed.

FEB Digi may feature the project in its portfolio or list of completed projects, provided no confidential information is disclosed and any publicity arrangements with the client are respected.

8. Warranty and technical support

FEB Digi provides a standard 30-day warranty from the confirmed acceptance or handover date, unless the contract sets a different period.

The warranty covers checking and fixing technical defects within the work performed by FEB Digi that stop the product from working as agreed.

The warranty does not by default cover:

  • Developing new features.
  • Changing an accepted design or workflow.
  • Data entry or adding new content.
  • Issues caused by third parties changing their systems, plugins or APIs.
  • Issues caused by the client or another party modifying the source code or configuration.

These exclusions do not apply where the defect is actually FEB Digi's responsibility or the law provides otherwise.

After the warranty period, the client can use a maintenance plan or request separately quoted support.

9. Third-party services

Some products may integrate with or depend on third-party services such as payment gateways, email services, APIs, hosting platforms and analytics tools.

These services may have their own usage policies, pricing and technical conditions.

FEB Digi will point out important dependencies known at the time of deployment.

FEB Digi cannot guarantee that third parties will keep their services or APIs unchanged in every case, but remains responsible for the obligations it has committed to or that the law imposes.

10. Confidentiality and data

FEB Digi takes reasonable measures to protect the information and data it accesses while providing its services.

Client confidential information is not used or disclosed beyond what is needed to perform the contract, unless permitted or required by law.

Personal data is handled according to FEB Digi's Privacy Policy, the relevant contract and the applicable law.

The client is responsible for identifying and meeting the data protection obligations of their own role when operating the website or software.

11. Limitation of liability

FEB Digi strives to deliver services in line with the agreed scope, quality and timeline.

To the extent permitted by law, the parties may agree to limit liability for damage arising from the performance of the contract.

Unless the contract states otherwise, FEB Digi's total contractual liability for a project is limited to the total amount the client has paid for that project, to the extent the law permits this limit.

This limit does not apply to liability that cannot be excluded or limited by law, including mandatory consumer rights and guarantees where they apply.

12. Suspension and termination

Either party may request to end the contract under the agreed conditions and procedure.

On termination, the parties reconcile the work completed, costs incurred, payment obligations and assets to be handed over.

FEB Digi hands over the items within the transfer scope once the lawful handover conditions and corresponding payment obligations are met.

Client data is processed, exported or deleted according to the contract, the Privacy Policy and the applicable legal obligations.

Support for data migration, system reconfiguration or deployment to new infrastructure may incur separate fees if not already within the contract scope.

13. Force majeure

Neither party is liable for delays in performing its obligations caused by a force majeure event under the applicable law, to the extent the event directly prevents performance and the conditions for exemption are met.

The affected party must notify the other party within a reasonable time and take the steps needed to limit the damage.

14. Governing law and disputes

The governing law and dispute resolution mechanism are determined by the contract, the legal status of the service provider and the relevant mandatory laws.

For contracts with the Australian business, the laws of Victoria and the Commonwealth of Australia may apply as agreed and as required by the relevant rules.

For contracts with the Vietnamese business, Vietnamese law applies as required.

The parties prefer to resolve disputes through negotiation before using other dispute resolution mechanisms under the contract and the law.

15. Changes to these terms

FEB Digi may update these Terms of Service to reflect changes in its business or legal requirements.

Terms that apply to a signed contract are not automatically changed by an update to the website, unless the contract allows it and the change meets the legal requirements.

The latest version is published on febdigi.com.
